WebNow.com is a service provided to the referring sites’ customers. Support is provided by WebNow.com. The referring sites affiliation with WebNow.com neither enhances nor restricts your rights as they pertain to the agreement below. In no event shall the referring site be held liable with regards to the utilization of this service.

This agreement is between WebNow.com and the Member. Member shall be defined as any person, business or entity utilizing WebNow.com services or products. WebNow.com acknowledges the member will be utilizing WebNow.com services, tools and templates to publish, post and to otherwise make available information on the Internet.

Copyright:
Member acknowledges that the templates, graphics, and tools provided are property of WebNow.com (either licensed for use by WebNow.com or developed by WebNow.com). Certain images have been licensed for use by WebNow.com for use by its members. Members wishing to utilize these pictures in other marketing material outside of the services provided by WebNow.com must obtain written authorization.

Member agrees to assume responsibility for material loaded to and posted on the members web site such as text and graphics. This responsibility includes, but is not limited to, copyrights and slanderous or libelous statements.

Limited Liability:
WebNow.com acknowledges that members rely on reliable and professionally hosted web sites. WebNow.com will take reasonable action to ensure that loss of data and other downtime does not occur. WebNow.com also will take reasonable efforts to ensure that all features, tools, and services are accurate, reliable and operating as represented. In no event shall WebNow.com or its resellers be liable for or assume responsibility for any loss or damages that may occur.

Expanding Services:
As it is the nature of the business of the Internet, WebNow.com and the member agree to work in good faith to include all upcoming features, services, and resources into the spirit of this agreement.

General Use Guidelines:

As WebNow.com and its members are serving a professional market place, WebNow.com reserves the right to:

• Cancel members' service in the event that spamming has occurred
• Terminating websites that feature illegal, misleading, pornographic, hateful, violent or otherwise deemed distasteful practices.
• To cooperate with appropriate legal authorities in investigations of claims of illegal activity involving WebNow.com Services, Customers and other Users/Members.
• Suspending the website and/or domain for past due payments of 30 days or more
• Terminating the website and/or domain for past due payments of 6 months or more

WITH THE USE OF WebNow.com SERVICES, MEMBER WILL ACKNOWLEDGE, AGREE AND AUTHORIZE WebNow.com TO AUTOMATICALLY BILL AND/OR CHARGE ON YOUR CREDIT CARD FOR SUCCESSIVE TERMS OF EQUAL LENGTH AS THE INITIAL TERM, UNLESS TERMINATED OR CANCELLED BY EITHER PARTY

IMPORTANT:

THE MEMBER IS AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND ALL TERMS AND CONDITIONS INCORPORATED BY REFERENCE IN THIS AGREEMENT, INCLUDING WebNow.com’S USAGE POLICY. YOUR USE OF THE SERVICES CONSTITUTES ACCEPTANCE OF THIS AGREEMENT

Member’s Responsibilities:

Member is solely responsible for the quality, performance and all other aspects of the customer Content and the goods or services provided through the Member’s Web site

1. Member acknowledges and agrees that. WebNow.com may pre- charge Member fees for the Services to its credit card supplied by Member during registration for the Initial Term.
2. Member must notify WebNow.com of any change in Customer's mailing address, telephone, e-mail or other contact information. WebNow.com is not responsible for any email or correspondence sent to a wrong address listed on the Member’s account
   
3. Member must notify WebNow.com of any change in Member’s billing and credit card information. WebNow.com is not responsible for time lost to a package or domain(s) due to billing and credit card information not updated at the respected time.
   
4. Because the Services permit Member to electronically transmit or upload content directly to the Customer Web site, Member shall be fully responsible for uploading all content to the Member Web site and supplementing, modifying and updating the Member Web site.
   
5. Member is responsible for ensuring that the Member Content and all aspects of the Member’s Web site are compatible with the hardware and software used by WebNow.com to provide the Services, as the same may be changed by WebNow.com from time to time. Specifications for the hardware and software used by WebNow.com to provide the Services will be available on WebNow.com Web site.
   
6. Member shall periodically access WebNow.com Web site to determine if WebNow.com has made any changes thereto. WebNow.com shall not be responsible for any damages to the Member Content, the Member Web site or other damages or any malfunctions or service interruptions caused by any failure of the Member Content or any aspect of the Member Web site to be compatible with the hardware and software used by WebNow.com to provide the Services.
7. Unless provided otherwise, Member is solely responsible for making back-up copies of the Member Web site and Member Content.
8. Member will contact Customer Support directly by Customer Support Module only when requesting website, domain, or package cancellation(s). Notifications by voice mail or personal email to one of our representatives directly will not be accepted.
   
9. A charge of $50 will be charged to reinstate the website once terminated. Member will pay, If any, past due amounts and said late fees before restoration of Member’s website can commence.
10. If any check is returned for insufficient funds WebNow.com may impose a processing charge of $25.00.
11. If any Chargeback issued by the Member is reversed, either by Member or WebNow.com, Member acknowledges that the Member will pay a $50 fee for each Chargeback issued and reversed.

Member’s Representations and Warranties

Member hereby represents and warrants to WebNow.com, and agrees that during the Intial Term and any Term thereafter that:

1. Member is the owner or valid licensee of the Member Content and each element thereof, and Member has secured all necessary licenses, consents, permissions, waivers and releases for the use of the Member Content and each element thereof, including without limitation,all trademarks, logos, names and likenesses contained therein, without any obligation by WebNow.com to pay any fees, residuals, guild payments or other compensation of any kind to any Person;
   
2. Member’s use, publication and display of the Member Content will not infringe any copyright, patent, trademark, trade secret or other proprietary or intellectual property right of any person, or constitute a defamation, invasion of privacy or violation of any right of publicity or any other right of any person, including, without limitation, any contractual, statutory or common law right or any "moral right" or similar right however denominated;
3. Member will comply with all applicable laws, rules and regulations regarding the Member Content and the Member Web site and will use the Member Web site only for lawful purposes.
4. Member has used its best efforts to ensure that the Member Content is and will at all times remain free of all computer viruses, worms, Trojan horses and other malicious code.
5. Member shall be solely responsible for the development, operation and maintenance of Member web site, online store and e-commerce activities, for all products and services offered by Member or appearing online and for all contents and materials appearing online or on Member’s products,including, without limitation

WebNow.com ACCOUNTING POLICIES:

Package Renewals Policy:

All packages are automatically renewed on a quarterly or yearly basis, in accordance to the package the Member has paid for. WebNow.com does not accept responsibility for courtesy billing reminders not being received at the correct email address. Unless otherwise specified, allfees and related charges shall be due and payable on package renewal date.

Past Due Policy:

In the event of past due amounts after 30 days, Member understands that WebNow.com will suspend Member’s website. In the event past due amounts are not paid within ninety (90) days after the date of the renewal, WebNow.com may charge Member a late fee of $15.00 for each package renewal. In the event of past due amounts not paid after one hundred and eight days (180) or 6 months, then Member’s website will be terminated.

Refund Policy:

WebNow.com offers a complete satisfaction guarantee. It is our goal not only to deliver on what we have promised, but also to deliver on what the Member may expect the Internet market to offer.

The Member may ask for a full and complete refund of services paid to WebNow.com for a 30 day period after start up. This guarantee does not include any fees for third party services such as domain name registration, search engine registration, custom web work, etc. To request a refund, Member must send email to Customer Support which includes request for refund, reason for refund, username, password, and Website Owner’s name.. WebNow.com reserves the right to refuse a refund if it does not comply with our Terms of Agreement.

If your credit card is charged for the amount of a package you did not want renewed, and you went through the proper channels as stated above, the amount will be refunded to you.

If your credit card is charged for the amount of a package you did not want renewed, and you did NOT go through the proper channels as stated above, a refund will not be issued.

Cancellation of Website Policy:

You may cancel your website at any time. If you cancel within 30 days of setting up your site, we will issue a complete refund of your packages (not including domain hosting packages) Please

notify Customer Service that you wish to cancel your site. Include in your email the requesting date, the website Owner’s full name, username, password, and login domain.

Chargeback Policy:

WebNow.com will make every effort to have all unwarranted Chargebacks reversed. If the reversal is successful, it will be the Issuing Member’s responsibility to pay back the chargeback amounts, as well as all processing fees, that WebNow.com incurred for each chargeback issued. If any Chargeback issued by the Member is reversed, either by Member or WebNow.com,

Member acknowledges that the Member will pay a $50 fee for each Chargeback issued and reversed. If the amount of the fee is not paid back within 14 days, WebNow.com reserves the right to automatically terminate the Member's website. Along with the Chargeback fees, there will be a $50 fee charged for reinstating Member’s website.

DOMAIN HOSTING POLICIES:

WebNow.com will register and host your domain for you for a set period as described in your paid hosting package. We use Network Solutions as our only Registrar. Member agrees to pay WebNow.com for hosting and registration. WebNow.com agrees to pay Network Solutions for registration and hosting of Member's domain. Please note that Member only pays WebNow.com, no one else. WebNow.com does not accept responsibility for domain renewal monies that are sent to any one else for the purpose of domain renewing.

SELECTION OF A DOMAIN NAME.
Member will certify and represent that:

1. The data provided in the domain name registration application is true, correct, up to date and complete, and that you will continue to keep all of the information provided correct, up-to-date and complete;
   
2. To the best of the your knowledge and belief, neither this registration of a domain name nor the manner in which it is directly or indirectly to be used infringes upon the legal rights of a third party;
   
3. That the domain name is not being registered for nor shall it at any time whatsoever be used for any unlawful purpose whatsoever;
   
4. You have the authority to enter into this Registration Agreement. FEES.

As consideration for the Services you have selected, you agree to pay WebNow.com the applicable service(s) fees. All fees payable hereunder are non-refundable. As further consideration for the Services, you agree to: (1) provide certain current, complete and accurate information about you as required by the registration process and (2) maintain and update this information as needed to keep it current, complete and accurate. All such information shall be referred to as account information ("Account Information"). By submitting this Agreement, you represent that the statements in your Application are true, complete and accurate.

If Member's domain package is not paid on time as specified as renewal date, the domain will not be renewed. WebNow.com is not responsible for any losses of domain, or repercussions of thereof, if package is not paid on time.

TERM.
This Agreement shall remain in full force during the length of the term of your domain name registration(s) as selected, recorded, and paid for upon registration of the domain name. Should you choose to renew or otherwise lengthen the term of your domain name registration, then the term of this Registration Agreement shall be extended accordingly. Should the domain name be transferred to another Registrar, the terms and conditions of this contract shall cease.

INFORMATION.
As part of the registration process, you are required to provide us certain information and to update us promptly as such information changes such that our records are current, complete and accurate.

You are obliged to provide us the following information:

1. Your full name, postal address, e-mail address and telephone number and fax number (if available) (or, if different, that of the domain name holder);
   
2. The domain name being registered;
   
3. The name, zip code/postal address, e-mail address, and telephone number and fax number (if available) telephone numbers of the administrative contact for the domain name;
   
4. You agree that WebNow.com is the the technical contact and the billing contact for this domain.
   
5. The IP addresses and names of the primary nameserver and any secondary nameserver(s) for the domain name;

TRANSFER:
In the event that Member wishes to transfer their domain AWAY from WebNow.com, member is responsible for searching out ways to transfer away. WebNow.com does NOT transfer domains TO other hosts.
